Three D Metals acquires Williams Metals

NEW YORK — Three D Metals Inc. has acquired Williams Metals & Welding Alloys Inc. to expand its product offerings and geographic coverage in North America. 

The terms of the deal, which was finalized Feb. 8, were not disclosed. 

The acquisition of Williams Metals, a ferrous and nonferrous products service center, is “very complementary and a huge opportunity for (the Three D) sales team,” David D. Dickens Jr., the company’s new chief executive officer, told AMM. Three D Metals offers ferrous and nonferrous distribution, as well as toll processing for mills. 

“We expect to use all of (Williams Metals’ facilities) to better serve our customers in the (United States), Canada and Mexico,” Dickens said. “These are two strong companies coming together; this isn’t one or the other trying to save a struggling company.” 

Williams Metals operates eight facilities in the eastern half of the United States, including its headquarters in Wayne, Pa.; a sales and administration office in Pittsburgh; four sales and warehouse locations in Alabama, Missouri, North Carolina and Ohio; and two sales operations in Illinois and Ohio, according to the company’s website. 

Meanwhile, Three D Metals operates a 160,000-square-foot production facility at its headquarters in Valley City, Ohio, as well as a warehouse in Burlington, Ontario. 

The two companies have little overlap, though they both provide copper and aluminum bar and coil products to the power generation industry, Dickens said. While Williams Metals is mainly a distributor, it also has “some manufacturing capabilities,” he added.

According to Three D, under the terms of the acquisition Williams Metals president and chief executive officer Joe Walton, who has owned Williams Metals for 15 years, will remain with the company to assist with the transition.

“(Walton) formed a strong team dedicated to customer service that blends well with the family-owned business environment at Three D,” the company said in a release provided to AMM. 

In addition, Three D has reorganized its executive structure, including Dickens’ promotion to chief executive officer, effective immediately. Dickens previously served as president of Three D, and will be succeeded in that position by his brother-in-law, Christopher A. Berry, former vice president of sales. Stephen R. Switaj was promoted to vice president of finance. 

“These changes are to give us that flexibility as we grow,” Dickens said. 

David D. Dickens Sr., who founded Three D with his wife, Donna Dickens, in 1972, will remain in his position as chairman of the board.
